Rules of the European Centre of
Tort and Insurance Law

1. Name and
seat
1. 1. The name of the Centre is European Centre of Tort and
Insurance Law. The German translation is Europäisches Zentrum für
Schadenersatz- und Versicherungsrecht.
1.2. The seat of the Centre is Vienna, Austria.
2. Purpose of the Centre
The purpose of the Centre is to do research work in the field of European
tort and liability insurance law and of unification of European tort
law.
3. Organs
Organs of the Centre are the Supervisory Board and the Board of
Directors.
4. Supervisory Board
4.1. Members are at least four representatives of the sponsors and the
same number of scholars. Chairman is one of the scholars.
4.2. The quorum is constituted if half of the members including at least one of the
representatives of the sponsors and one scholar are present. Proposals have to be adopted
by two thirds of those present. Proposals may also be adopted by correspondence unless a
dissenting member demands a meeting.
4.3. The Supervisory Board will meet once a year. Besides a meeting of the Supervisory
Board will take place if demanded by half of its members.
4.4. The Supervisory Board decides on the general outline of the Centre and the projects
to be carried out, the timetable of the projects and the financial
covering. Furthermore,
it supervises the Board of Directors.
5. Board of Directors
5.1. The board consists of one executive director, two executive
vicedirectors and two further members.
5.2. The quorum is constituted if half of the members are present. Proposals have to be
adopted by simple majority of those present.
5.3. The Board of Directors deals with the realization of the research
projects,
organization of the meetings, publications, building up of the library and other current
transactions.
6. Fellows
The Board of Directors will suggest and nominate outstanding scholars as
fellows. The Supervisory Board may also suggest scholars to be fellows. Fellows will
contribute to the research projects.
7. Financial Control
An outside audit will take place once a year.
